What are the steps of Company Registration in Mumbai?
1. Obtaining Digital Signature Certificate (DSC) for the Directors.
2. Reservation of Proposed name
a. either through Reserve unique Name (RUN) service, or
b. Along with other services of SPICe form as per the next step.
3. Submission of form INC -32: Simplified Proforma for Incorporating Company Electronically (SPICe) is a crucial step of Company Registration. SPICe has integrated following services in one;
a. Name Approval (if not separately done with RUN),
b. Application for Director Identification Number,
c. Registration of a New Company,
d. Allotment of PAN, and
e. Allotment of TAN
4. Submission of e-MoA and e-AoA has to be made with INC-33 and INC-34 format along with SPICe during company registration.
5. It should be noted that though there is no fee to be submitted with SPICe, following are to be paid
a. Rs. 1000 for Reserve Unique Name (RUN) service,
b. Stamp duty for MoA and AoA.
6. After the required form is submitted along with proper documents, the application is scanned by the authorized officer. If found appropriate, the application shall be approved and the Registration Certificate along with Corporate Identity Number (CIN), PAN and TAN for the company shall be issued.
What is the stamp duty to be paid for MoA and AoA during the process of company registration in Mumbai?
Stamp duty is notified by a state government. For company registration in Mumbai shall be as per that applicable in Maharashtra state.
1. For companies having share capital-
a. MoA- Rs. 200
b. AoA- Rs. 1000 on every Rs. 5 lakhs of authorized capital or part (maximum of 50 lakhs)
2. For companies not having share capital, no stamp duty is payable for MoA and AoA.
